Several legal clocks run alongside each other when a construction defect occurs. Prompt notification is necessary, but does not protect your claim indefinitely. Nor does a repair agreement, report or discussion with the insurer automatically replace valid interruption of limitation. Prepare a timeline for each defect and each party approached. This guide mainly addresses claims under Dutch construction contracts. For sale agreements, guarantees, business terms or another legal basis, first establish the applicable rules. Have an approaching deadline assessed immediately even if the contractor is still cooperating.

1. Begin with the agreement and claim

A leaking roof may lead to a repair request, compensation for consequential loss and a guarantee dispute. These are not interchangeable labels. Record the performance agreed, when the work was handed over and what you seek from whom. Collect the quotation, applicable terms and any sale agreement before attaching one deadline to the whole file.

The Noord-Holland District Court applied Article 7:761 of the Dutch Civil Code both to performance and substitute damages for a defect in completed works. Merely renaming the same demand offered no solution there. Have the legal basis assessed substantively. A separate loss item may require examination, but is not an automatic escape route from an expired period.

2. The duty to complain concerns timely protest

The central question for the duty to complain is whether you protested within a reasonable time after discovering, or reasonably having to discover, the defect. This differs from the later limitation of a legal claim. The ’s-Hertogenbosch Court of Appeal discusses the distinction in a construction dispute. There is no universal number of days adequately covering every construction complaint.

Report what you actually observe without unnecessarily awaiting a definitive technical diagnosis. State the location, discovery and visible consequences. You may explain that the cause is still being investigated. Keep photographs and the first message even if a manager or contractor later requires a more extensive form. The first protest may be particularly important when assessing the timeline.

3. Limitation has its own starting point

For legal claims concerning defects in completed works, Article 7:761 of the Dutch Civil Code generally provides a two-year period after the protest. The law contains special commencement rules where a repair period is given; an earlier refusal may matter. Do not rely solely on when you first saw a small crack or received the report.

Also assess the ultimate period after handover and any statutory extension. This article deliberately does not calculate these periods identically for every contract. The nature of the structure, contract terms and specific repair communications must be included. Put a generous internal review date before the earliest possible end date in your calendar so investigating the exact calculation does not create time pressure.

4. Interruption requires a recognisable reservation of rights

Under Article 3:317 of the Dutch Civil Code, written notification may interrupt limitation where the creditor unequivocally reserves the right to performance. The party approached must receive a sufficiently clear warning of the claim. Noord-Holland stresses that context and circumstances also count. Merely putting interruption above an unclear letter is therefore not reliable preparation.

Connect your message with the contract, relevant defect and claim you wish to preserve. Check the other party’s legal name and address. Request acknowledgment and keep the document actually sent with attachments. For several defects or parties, assess how broad and precise the reservation must be. A message only to your own adviser does not automatically reach the contractor.

5. Investigation and discussions do not automatically preserve rights

In the Noord-Holland judgment consulted, the contractor’s attendance at inspections and possible responses to draft reports were not acts interrupting limitation. The file’s contents provided insufficient protection against the limitation defence. This is a specific case, but clearly warrants organising technical discussions separately from deadline monitoring. A friendly conversation provides no verifiable certainty.

For a promise to investigate or repair, request written confirmation of substance, schedule and relevant defect. Assess the legal significance of the promise; do not assume an automatic fresh period. Keep your own action date active until your adviser expressly confirms how rights are being preserved. An expert’s or insurer’s timetable does not independently determine the statutory calendar.

6. Expiry and guarantees deserve separate assessment

An expiry period may have different consequences from limitation. Do not assume an ordinary interruption letter overrides a contractual expiry clause. Find its precise wording, applicable version and any requirements for proceedings. Also ask whether the clause is valid and applicable. Reviewing terms for a consumer may produce a different outcome from a contract between professionals.

Nor does a guarantee period automatically state how long every statutory claim exists. A guarantee may offer an additional route with its own notification requirements while the claim against the contractor needs separate protection. Record the guarantee scheme, guarantor and notification address separately. Avoid everyone assuming a report to one contact point automatically protects all rights against other parties.

7. The Wkb regime answers a different question

The amendment to Article 7:758 paragraph 4 of the Dutch Civil Code concerns liability for defects not discovered at handover. IPLO explains that this provision does not apply to construction contracts concluded before 1 January 2024. The contract date therefore matters for the substantive position. It does not mean every complaint under the new regime can be submitted indefinitely.

Record the client’s capacity too. A private natural person is protected against disadvantageous departures under this provision; professional parties may expressly agree a departure. This substantive assessment belongs alongside the timeline. A convincing technical error may still encounter a deadline defence, while timely notification does not itself prove the contractor’s substantive liability.

8. Make deadline monitoring transferable

Keep a table for each defect recording discovery, first protest, receipt, repair period, refusal and later messages. Add contract and handover dates. For each date identify its supporting document. A successor board member, lawyer or legal expenses handler must be able to see established information and uncertainties without reconstructing all correspondence afresh.

When obtaining assistance, explicitly ask who monitors the next legal action. A case number or intake appointment does not yet confirm someone has accepted responsibility for a deadline. Have the necessary step and responsible person recorded in writing. If a period may already have elapsed, first have the calculation and any earlier acts investigated before abandoning the claim.

Frequently asked questions

Is a complaint automatically valid interruption of limitation?

That depends on substance, context and applicable rules. Complaining in time and preserving a legal claim require separate assessment.

Does a two-year period apply to every construction dispute?

No. Matters including the legal basis, handover, repair communications, contractual terms and any sale or guarantee scheme are relevant.

May I wait until the expert report is finished?

Have any possible deadline assessed beforehand. Investigation or discussions do not automatically protect your rights and may take longer than expected.
